At CGS International Securities Singapore Pte. Ltd. (“CGS SG”, “we”, “our”, “us”), we value your privacy and strive to protect your personal data (as defined below) in compliance with the laws of Singapore.

This policy (“Privacy Policy”) is designed to explain and elaborate upon some of our policies and principles pertaining to the privacy of your personal data, all of which we have adopted as a sign of our commitment in respecting, maintaining, protecting and safeguarding the privacy of your personal data.

CGS SG will only collect, record, hold, store, use, process, and disclose your personal data in accordance with such laws (including the Personal Data Protection Act 2012), this Privacy Policy and the privacy terms in your agreement(s) with CGS SG and/or its Affiliates that you may have contracted with.

“Affiliate” means a related corporation (as defined in the Singapore’s Companies Act 1967) of CGS SG;

Types of Personal Data we collect and how we collect it

To process, administer and/or manage your relationship and/or account with CGS SG, and to provide you with the services and products of CGS SG, CGS SG will necessarily need to collect, use, disclose and/or process the personal data about you or your personnel, including but not limited to: –

1. personal data including your images or biometrics data for verification or other purposes;
2. personal data to establish your financial standing, creditworthiness and/or suitability for any of our products/services applied for (if required); and/or
3. personal data in any forms that you provide to us when you apply for or use any of our products and services or when you interact with us.

We may obtain this data from yourself and from a variety of sources, including but not limited to:

1. through your relationship with us, for example information provided by you in application forms, when using our products or services (including but not limited to websites, application(s) and any online accounts established with us), when taking part in customer surveys, competitions and promotions, and during financial reviews;
2. through your verbal and written communications with us and/or our authorised agents;
3. from information or files submitted or uploaded by you or collected from you when you use our mobile application(s);
4. from an analysis of the way you use and manage your account(s)/facility(ies) with us, from the transactions you make and from the payments which are made to/from your account(s)/facility(ies);
5. from third parties connected with you, such as employers, joint account holders, security providers, guarantors and indemnitors, subject to your prior consent;
6. from such other sources in respect of which you have given your consent to disclose information relating to you and/or where not otherwise restricted;
7. from any relevant governmental authorities and/or law enforcement agencies to ascertain inter alia your current and past financial standing; and/or
8. from any information that is supplied and/or collected when you visit our websites which include your mobile device or computer’s IP address or from any information that is collected via cookies in some of our websites.

How we use your Personal Data

Such personal data will be collected, used, disclosed and/or processed by CGS SG for one or more of the following purposes: –

1. processing your enquiries and application for account opening, services and products by CGS SG;
2. providing you with the services and products of CGS SG and CGS SG’s Affiliates, business partners and related companies;
3. administering and/or managing your relationship with CGS SG;
4. carrying out due diligence or other screening activities (including background checks) in accordance with legal or regulatory obligations or risk management procedures (including but not limited to those designed to combat financial crime, “know-your-customer”, anti-money laundering, counter-terrorist financing or anti-bribery), that may be required by law or that may have been put in place by CGS SG;
5. dealing in any matters relating to the services and/or products which you are entitled to (including the printing and mailing of correspondence, statements, invoices, confirmations, advices, information, reports or notices to you, which could involve disclosure of certain personal data about you or your personnel to bring about delivery of the same as well as on the external cover of envelopes/ mail packages);
6. the recovery of any and all amounts owed to CGS SG;
7. the process of reviewing and approving your accounts with CGS SG and the conduct of initial and anticipatory credit checks and assessments, relevant checks, ongoing assessment and verification of ongoing credit worthiness and standing;
8. preventing, detecting and investigating fraud, misconduct, any unlawful action or omission, whether relating to the application or any other matter relating your account(s) with CGS SG and whether or not there is any suspicion of the aforementioned;m
9. managing CGS SG’s infrastructure and business operations, and complying with policies and procedures that may be required by law or that may have been put in place by CGS SG, including those relating to auditing, finance and accounting, billing and collections, IT systems, data and website hosting, training, testing, business continuity, and records, document and print management;
10. security, surveillance and/or identity verification purposes and managing the security of our premises including but not limited to carrying out CCTV surveillance, audio recordings of your instructions or conversations over the telephone or during face-to-face communications with CGS SG’s staff;
11. if consented by you or your personnel (as may be applicable) via your registration or participation in any contest, lucky draw, campaign, promotion, event, survey or questionnaire, to administer and provide you with such activities. Some of these activities have additional terms and conditions, which could contain additional information about how CGS SG uses and discloses your personal data or that of your personnel (where applicable), so you should read these carefully;
12. complying with applicable law in administering and managing your relationship with CGS SG; and/or
13. if consented to by you in the application form(s), account opening document(s) and/or other methods of consent notification, provide for the dispatch of marketing information relating to financial or investment services or products offered by CGS SG and CGS SG’s Affiliates, business partners and related companies (whether by CGS SG, CGS SG’s Affiliates, business partners or related companies) which CGS SG thinks is of benefit or interest to you via your consented method(s) of communication;

(collectively, the “Purposes”).

Disclosure and Sharing of your Personal Data

Without prejudice to anything else in this Privacy Policy, in carrying out one or more of the above Purposes, CGS SG may need to disclose your personal data and/or (where applicable) the personal data of your personnel to certain third parties, whether located within or outside Singapore, as such third parties would then be processing such personal data for one or more of the above Purposes.

You hereby acknowledge and agree that such personal data will/may be disclosed by CGS SG to the following third parties (whether located within or outside Singapore) for one or more of the above Purposes and for the said third parties to subsequently process such personal data for one or more of the above Purposes: –

1. CGS SG’s Affiliates and between each of them;
2. CGS SG’s (or CGS SG’s Affiliates’) third party service providers or agents including but not limited to those who provide administrative, telecommunications, computer, payment or securities clearing or other services to CGS SG in connection with the operation of its business, mailing houses, telecommunication companies, marketing agents, call centers, data processing companies and information technology companies;
3. any credit reference agency, rating agency, business partner, insurer or insurance broker, direct or indirect provider of credit protection, bank or financial institution, and, in the event of default, to debt collection agencies;
4. any fund management companies, private equity companies and managers, other financial companies (e.g. for structuring/ provision of services), external asset managers, service providers (e.g. alternative investment service providers) and financial service providers;
5. any credit bureau and/or its compliance committee and for such credit bureau and/or its compliance committee to disclose the personal data to third party or parties, including but not limited to its member banks or financial institutions;
6. CGS SG’s auditors and professional advisors including its solicitors;
7. any person to whom CGS SG is under an obligation to make disclosure under the requirements of any law binding on CGS SG or any of CGS SG’s Affiliates or branches or under and for the purposes of any guidelines issued by regulatory or other authorities with which CGS SG or any of CGS SG’s Affiliates or branches are expected to comply with;
8. any person to whom disclosure is permitted or required by any statutory provision or law; law;
9. any permitted assigns;
10. CGS SG’s successors in title; and/or
11. any local or foreign regulatory body, government agency, statutory board, ministry, departments or other government bodies and/or its officials.

If you (or where applicable, any of your personnel) do not wish for CGS SG to use the submitted personal data or disclose the submitted personal data for any of the above Purposes, you may withdraw the consent at any time by prior written notice to CGS SG, however, depending on the circumstances and the nature/extent of the withdrawal, the withdrawal of consent may result in CGS SG’s inability to provide you with the services and products and hence may result in the termination of your relationship and/or account(s) with CGS SG or other consequences of a legal nature which may arise by virtue of your legal relationship with CGS SG.

Your latest written instructions to us will prevail. In certain instances where marketing communications from us are sent via browser push to your mobile device, you will have to follow certain prescribed steps to discontinue the receipt of marketing communications from us. Please take note that certain communications such as statements of account and our websites contain standard information regarding our other products and services that cannot be removed without affecting the delivery/provision of our services and/or products, the operation of your account(s) and/or facility(ies) with us, and/or additional costs to you.

For the avoidance of doubt, in the event that Singapore personal data protection law permits an organization such as CGS SG to collect, use or disclose your personal data without your consent, such permission granted by the law shall continue to apply.

You agree that where your written permission is required by law or otherwise for any such disclosure by CGS SG, the signing of the application form(s), account opening document(s), and/or any other methods of consent notification, as well as in any other manner permitted by law shall constitute and be deemed to be sufficient written permission for such disclosure.

CGS SG’s rights under this Privacy Policy shall be in addition to and without prejudice to CGS SG’s other rights of disclosures available pursuant to any other statutory provision and in law and nothing herein is to be construed as limiting any of these other rights.

Cookies and related technologies

“Cookies” are small text files a website can use to recognize repeat users, facilitate the user’s ongoing access to and use of the website or mobile application and allow a website or mobile application to track usage behavior and compile aggregate data that will allow content improvements and targeted advertising. Bursa Malaysia Securities Bhd (“Bursa Malaysia”) and CGS SG make no representation or warranty (including all express, implied and statutory warranties of any kind arising from usage, custom, trade or by operation of law), as to the veracity, reliability, accuracy, completeness, currentness, comprehensiveness, fitness for any particular purpose or use of the information from Bursa Malaysia, or that such information shall error-free or virus-free. You agree and accept that Bursa Malaysia expressly reserves the right to and may in its sole discretion change the technological basis of the transmission of information to CGS SG at any time and from time to time.You shall not transmit, distribute, disseminate (by any means whatsoever), or re-transmit, re-distribute or re-disseminate (by any means whatsoever), or access CGS SG’s facilities to retrieve for the purposes of transmission, distribution or dissemination, the information from Bursa Malaysia.

In the case where Bursa Malaysia ceases the provision of information (in any form or format) to CGS SG, you accept and agree that such information will no longer be available to you forthwith and we shall not be liable to you for any reason whatsoever in respect thereof. In the case where Bursa Malaysia requires CGS SG to cease the provision of information (in any form or format) to you, you accept and agree that such (i) cessation shall not be challenged in any manner whatsoever, and (ii) information will no longer be available to you forthwith, and we shall not be liable to you for any reason whatsoever in respect thereof.

You agree to provide such information as may be required (and only to the extent so required) by CGS SG in order for CGS SG to meet CGS SG’s obligations to Bursa Malaysia.

You agree that you shall not (i) use the information or any part thereof in any deliberate attempt to establish, maintain or provide, or assist in establishing, maintaining or providing any service, activity or facility which does not comply with the relevant laws and the business rules of Bursa Malaysia (for the time being and from time to time in force); and (ii) use Information to design, calculate, manage or promote any indices that compete with any indices owned or partially owned by Bursa Malaysia.

You shall indemnify and keep CGS SG fully indemnified against all loss, damage, costs and expenses which CGS SG may suffer or incur as a result of any claim, action or legal proceeding made or commenced by Bursa Malaysia on CGS SG and any damages or compensation awarded against CGS SG by any court or tribunal of competent jurisdiction, arising from, inter alia, a breach or failure to fully perform any of your obligations herein.

The provision and availability of information concerning price and index quotes on NASDAQ (the “NASDAQ Information”) is subject to the terms and conditions, and limitations, imposed by The NASDAQ OMX Group, Inc ("NASDAQ OMX") on CGS SG. The provision and availability of such information to you is accordingly subject to such terms and conditions, and limitations. You acknowledge and agree that the NASDAQ Information originates from NASDAQ OMX and CGS SG disclaims all liability in respect thereof. In particular, and without derogation to the foregoing we make no representation and disclaim all express, implied, and statutory warranties of any kind to you and/or any third party including warranties as to accuracy, timeliness, sequence, completeness, merchantability, or fitness for any particular purpose in relation to the NASDAQ Information. Following from your acknowledgement and agreement that the NASDAQ Information originates from NASDAQ, you accept and agree, as a term of our provision and making available the NASDAQ Information the following:

NASDAQ OMX will make commercially reasonable efforts to offer the NASDAQ Information as promptly and as accurately as is reasonably practicable. Notwithstanding the foregoing, you acknowledge and agree that the NASDAQ Information and any and all material related to the NASDAQ Information are being provided "as is" with no warranties. In the event that the NASDAQ Information is not available as a result of a failure on the part of NASDAQ, NASDAQ OMX will endeavor, giving due regard for the cost, time and effect on other users, to correct any such failure. In the event that the NASDAQ Information is not available, is delayed, is interrupted, is incomplete or is not accurate or is otherwise materially affected for a period, your rights and remedies are expressly limited to such of the rights and remedies as may be available to CGS SG against NASDAQ OMX in respect thereof and to the extent that the exercise of such rights and remedies are, at the absolute discretion of CGS SG available to you. Beyond the warranties stated in this section, there are no other warranties of any kind, express, implied or statutory (including, without limitation, timelines, truthfulness, sequence, completeness, accuracy, freedom from interruption, any implied warranties arising from trade usage, course of dealing, or course of performance, or the implied warranties of merchantability or fitness for a particular use or purpose).

Beyond the warranties stated in this section, there are no other warranties of any kind, express, implied or statutory (including, without limitation, timelines, truthfulness, sequence, completeness, accuracy, freedom from interruption, any implied warranties arising from trade usage, course of dealing, or course of performance, or the implied warranties of merchantability or fitness for a particular use or purpose).

Without prejudice to the other provisions of this Terms of Use,

1. CGS SG shall not be liable to you or any other person for trading losses, loss of anticipated profits, loss by reason of shutdown in operation or for increased expenses of operation, or for indirect, special, punitive, consequential, or incidental loss or damage of any nature arising from any cause whatsoever, even if CGS SG and/or NASDAQ OMX have been advised of the possibility of such damages.
2. CGS SG shall not be liable to you or any other person for any unavailability, interruption, delay incompleteness, or inaccuracy of the NASDAQ information
3. if CGS SG is for any reason held liable to you, or to any other person, for claims arising from the NASDAQ Information, whether in tort or in contract, notwithstanding the provisions in this Terms of Use, the liability of CGS SG is limited to an amount of your direct damages that is actually incurred by you in reasonable reliance, and which amount does not exceed, at CGS SG's option, the amount equal to what is received from NASDAQ OMX by way of a prorated credit or a prorated refund of any monies due to NASDAQ OMX from CGS SG (less monies refunded or credited to you) for the NASDAQ Information at issue for the period at issue.
   
   CGS SG shall not be liable to you or to any other person for the unavailability, interruption, delay, incompleteness or inaccuracy of information from NASDAQ OMX's third party information providers.
4. CGS SG shall not be liable to you or to any other person for the unavailability, interruption, delay, incompleteness or inaccuracy of information or data received from a re distributor of NASDAQ or for any acts or omissions of a redistributor of NASDAQ.

You shall defend, be liable to, indemnify, and hold CGS SG harmless from and against, any and all Claims or Losses imposed on, incurred by or asserted against any of the CGS SG to the extent that the Claims or Losses result from or relate to: (i) failure of yours, your employees, independent consultants/subcontractors, directors, and other agents to comply with the terms and conditions of this Terms of Use (ii) any assertion of Claims or Losses relating to the subject matter or existence of this Terms of Use against the CGS SG made by any person who is an employee, agent or officer of yours or entity who is related to, associated to or is an affiliate of yours who receives the NASDAQ Information from us (or any such person or entity relying upon the NASDAQ Information (iii) breach of any warranty by you; (iv) any defense or participation by any person who is an employee, agent or officer of ours or entity who is related to, associated to or is an affiliate of yours in any action, suit, arbitration, or judicial or administrative proceeding involving any Claims or Losses described in this section, or (v) the receipt or use of the NASDAQ Information (including representations about the NASDAQ Information) by yourself, your employees, directors, and other agents. Unless otherwise stated herein, "Claims or Losses" means any and all liabilities, obligations, losses, damages, penalties, claims, actions, suits, judgments, and reasonable costs and expenses of whatever nature, whether incurred by or issued against a party, including, without limitation: (i) indirect, special, punitive, consequential, or incidental loss or damage (including, but not limited to, trading losses, loss of anticipated profits, loss by reason of shutdown in operation or increased expenses of operation, or other indirect loss or damage); and  (ii) reasonable administrative costs, litigation costs, and auditors' and attorneys' fees, both in-house and outside counsel, and related disbursements.

In no event shall any claim, dispute, controversy or other matter in question be made against CGS SG by you (or any person or entity claiming by or through yourself) later than one year after the claim, dispute, controversy or other matter in question has arisen.
